WAIVER OF LIABILITY
- The prospective investor has been given the opportunity to request and obtain any information necessary to verify the accuracy of any and all information regarding the Company and the underlying real estate investment debt venture, and he has been furnished all such information so requested.
- The prospective investor is aware and understands that the Company is a business with intrinsic risks and understands that its capital contribution involves various risks, including that the contribution may become worthless.
- The prospective investor is aware and understands that the Company is not the actual real estate developer and does not operate in any aspect the construction, development, management, sales, marketing, administration, or any other aspect of any proposed project.
- The prospective investor understands that no Federal or State agency has passed upon the suitability, merits or risks of the Company’s activity;
- The prospective investor has such knowledge, skill, and experience in business, financial, and related matters and he is capable of evaluating his participation. To the extent necessary, the prospective investor has received and sought appropriate professional advice regarding any Company’s underlying project, and his investment and Capital Contribution.
- The prospective investor and the Company understand that this document has been drafted by a law firm and that such law firm did not provide any advice as to the soundness and profitability of the business and/or the Company and the prospective investor and the Company hereby waives any claim, in law and equity, against the law firm.
- The prospective investor understands that the words “investor” and “partnership” do not reflect the legal meaning of such concepts and are used solely for convenience and business description purposes. Nothing in this agreement shall be construed as creating a legal partnership, joint venture, agency, fiduciary relationship, or any other form of legally recognized association between the parties, nor shall the prospective investor or HIVE have the authority to bind or obligate the other in any manner whatsoever.
